Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) are an agreement between Clivita (“Clivita,” “we,” “us”) and the clinic or individual using the Clivita desktop application, its web companion, or clivita.com (together, the “Service”). By creating an account, or by using the Service, you agree to these Terms — on behalf of yourself, and if you're doing so for a clinic, on behalf of that clinic, in which case “you” means the clinic. If you don't agree, don't use the Service.

2. What the Service is

Clivita is clinic management software — queue management, prescriptions, billing, and patient records — provided as a desktop application for doctors and a companion web application for clinic staff.

Clivita is a record-keeping and workflow tool. It is not a medical device, does not practise medicine, and does not provide medical advice, diagnosis, or treatment. Every clinical decision — what to prescribe, how to treat a patient, what to record — remains the responsibility of the licensed medical professional using the Service. Clivita is not a substitute for professional medical judgment.

3. Accounts, seats, and roles

• Access to the Service is organised around a clinic account, with individual logins for doctors and staff within it.
• Pricing is per doctor seat, as shown on our pricing page. Every doctor seat includes one staff login (receptionist or administrator) at no extra cost.
• A staff account is scoped to the doctor(s) it's assigned to; a doctor's queue and patients are not visible to staff outside that assignment.
• You're responsible for keeping login credentials confidential and for all activity under your account. Tell us immediately at hello@clivita.com if you suspect unauthorised access.
• You must provide accurate information when creating an account and keep it up to date.

4. Billing

• Seats are billed monthly or annually, at the rates shown on our pricing page at the time of purchase, in Pakistani Rupees (PKR).
• Annual billing is charged as a single upfront payment for the year, at the discounted annual rate.
• Adding a doctor seat increases your bill from the next billing cycle, or immediately on a pro-rated basis if you'd prefer — contact us to arrange that.
• Prices may change. We'll give existing customers reasonable notice before a price change takes effect on their account.
• You're responsible for any taxes applicable to your subscription, other than taxes on our net income.

5. Cancellation, suspension, and what happens to your data

• You can cancel at any time by contacting hello@clivita.com. Cancellation takes effect at the end of your current billing period. We don't offer refunds for the remainder of a period already paid for, monthly or annual.
• We may suspend or terminate an account for non-payment, for a violation of these Terms, or for activity we reasonably believe puts the Service, other customers, or patient data at risk. We will try to notify you first, unless the situation requires immediate action.
• After cancellation or termination, you have 30 days to export your clinic's data. After that window, we will delete it, except where we're required to retain something for legal or accounting reasons.
• You can request an export of your own data at any time while your account is active.

6. Acceptable use

You agree not to:

• Use the Service for anything unlawful, or to enter information you don't have a lawful basis to record;
• Attempt to access another clinic's data, or any part of the Service you're not authorised to use;
• Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where the law gives you the right to do so despite this restriction;
• Interfere with or disrupt the Service, or attempt to circumvent its security measures;
• Resell or provide the Service to a third party as your own offering, without our written agreement.

7. Ownership of your records

Clinical, patient and business records you or your staff enter into Clivita belong to you — or, where applicable, to the patient, under whatever relationship you have with them — not to Clivita. We don't claim ownership of your data, and we don't use it for anything beyond providing, maintaining and improving the Service for you, as described in our Privacy Policy. Clivita retains ownership of the software itself, its design, and its underlying technology.

8. Service availability

We aim to keep the Service reliably available, but we don't currently guarantee a specific uptime percentage or offer service credits. We may need to take the Service down temporarily for maintenance, updates, or matters outside our control, and we'll try to keep disruption to a minimum and communicate it where practical.

9. Disclaimers and limitation of liability

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. Nothing in these Terms excludes liability that cannot be excluded under Pakistani law.

Subject to that, Clivita's total liability arising out of or relating to the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim, and we are not liable for indirect, incidental, or consequential damages. Clivita is a tool that supports clinical workflows; it does not replace, and Clivita is not liable for, clinical decisions made by the medical professionals using it.

10. Governing law

These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles. Any dispute arising under these Terms is subject to the exclusive jurisdiction of the courts of Lahore, Pakistan.

11. Changes to these terms

We may update these Terms from time to time. We'll update the “Last updated” date at the top of this page, and for a material change, we'll make reasonable efforts to notify clinic administrators before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
